Assurant is seeking an experienced Senior Corporate Paralegal to support of the Subsidiary Corporate Governance Office (“SCG”) and perform a variety of complex governance-related tasks with minimal guidance, and in some instances independently for the entities assigned, including effective collaboration across the enterprise on various projects critical to Assurant initiatives and facilitating communications to maintain the integrity of the Department’s governance framework. The Senior Corporate Paralegal will communicate effectively with our executive management team, as well as Board members and other internal and external stakeholders on a variety of topics.  The Senior Corporate Paralegal will be expected to be proactive, resourceful and perform tasks assigned with minimal supervision. This is a remote position.

Your Responsibilities will consist of:

  • Drafting corporate action resolutions, including the coordination of officer and director appointments, powers of attorney, declaration of dividends and infusions

  • Manage the board, board committee and shareholder meeting process (from start to end including post meeting follow up action items)

  • Facilitate legal entity owner communications and other interactions with executives (as it relates to meeting prep, biographical or fingerprint coordination)

  • Oversee the maintenance and updating of articles of incorporation and bylaws, certificates of authority, stock ledgers, subsidiary secretary of state filings, foreign state/country qualifications, withdrawals, and other tasks important to ensure that Assurant’s subsidiaries are in compliance at all times

  • Coordinate notarization, apostille or legalization of certain domestic and international documents

  • Maintain the RecordsCenter entity profile up to date in a timely manner (monthly or more frequent)

  • Lead various governance-based projects, including opportunities for value added harmonization

  • Collaborate with team members and other functional individuals to support various requests for information

  • Review, approve and process invoices related to corporate expenses related to the entities assigned and/or other corporate matters

  • Perform research and analysis on a periodic basis on a variety of corporate governance and/or regulatory topics

  • Support projects related to Mergers and Acquisitions process flow from a corporate governance perspective and other entity rationalizations, as assigned

  • Manage automated process flows, data repositories and the intranet platform

  • Support and train, as needed, junior paralegals

The Ideal Candidate Will Have:

  • Over 7 years of corporate paralegal experience required (ideally within the legal department of a public company or insurance company) or a law firm

  • Bachelor’s degree or ABA-approved paralegal certification

  • Spanish speaking and writing skills would be a plus as Paralegal may support certain LATAM entities

  • Proficient in Microsoft Office programs including Word, Excel, and PowerPoint

  • Knowledge of legal terminology, procedures, and use of computer-based research tools and resources

  • Excellent oral and written communication skills, ability to communicate effectively with all levels of the organization internally and externally

  • Highly autonomous and self-motivated work ethic; demonstrating sound judgment, initiative, and an ability to manage multiple priorities with a sense of urgency

  • Demonstrate an ability to handle matters of a sensitive and confidential nature, and the capacity to maintain composure while working under pressure

  • Strong ability to manage/lead projects

  • Although travel will not be common for this position, the paralegal must be willing to travel, as necessary, within and outside of the State.
